At Conceivable Life Sciences Inc. (referred to as "Company," "Conceivable," "us," or "we"), we recognize that your privacy is important. This Privacy Policy discloses the privacy practices for Company's websites (collectively, the "Site") and online or digital services activities (“Services”). This Privacy Policy also covers how personal and other information that we receive or collect about you is treated. Please read the information below to learn the following regarding your use of this Site and/or the Services.
You acknowledge that this Privacy Policy is designed to be read in connection with our Terms and Conditions of Use (the “Terms”), and that by accessing or using our Site and/or Services, you agree to be bound by the Terms, as well as this Privacy Policy. The Terms contain provisions that limit Conceivable liability to users of the Site and/or Services.
We reserve the right to change this Privacy Policy from time to time. Where required by applicable law, we will notify you about significant changes in the way we treat personal information by placing a prominent notice on our site. Your continued use of the Site and or Services after such modifications will constitute your acknowledgment of and agreement to abide and be bound by the modified Privacy Policy.
IMPORTANT: BY USING THE SITE AND/OR THE SERVICES, YOU GIVE YOUR CONSENT THAT ALL PERSONAL DATA THAT YOU SUBMIT MAY BE PROCESSED BY US IN THE MANNER AND FOR THE PURPOSES DESCRIBED IN THIS PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT USE THE SITE OR ANY OF THE SERVICES.
1. Types of Information We Collect
In order to better provide you with access to the Site and our Services, we may collect two types of information about our users: Personally Identifiable Information ("PII") and Usage Data.
1.1 Personally Identifiable Information: PII means information that is associated with or used to identify or contact a specific person. When you engage in certain activities on this Site or through the Services, such as contacting us, registering for an account, requesting information about our IVF automation technology, or sending us feedback, we may ask you to provide certain information about yourself.
Examples of PII may include: (a) contact data (such as your first and last name, email address, mailing address, employer, job title and department, telephone numbers, or other identifying information), (b) demographic data (such as gender, date of birth and zip code) and (3) certain Usage Data (as defined below). If you are a healthcare provider or fertility clinic using our services, we may collect additional professional information such as medical credentials, institutional affiliations, and licensing information.
1.2 Usage Data: Usage Data means information about an individual’s activity on or through the Site or Services that does not by itself identify the individual, such as browser type, operating system and webpages visited. We gather certain information about you based upon where you visit on our Site or through our Services, and what other sites may have directed you to us. This information, which is collected in a variety of different ways, is compiled and analyzed on both a
personal and an aggregated basis. This information may include the Website's Uniform Resource Locator ("URL") that points to the site you just came from, which URL you go to after visiting our Site, what browser you are using, and your Internet Protocol ("IP") address. Usage Data by itself is not usually considered PII because it usually does not identify an individual. If different types of Usage Data and PII are linked together and, once linked, identify an individual person, Usage Data in such scenarios may be considered PII.
2. How We Collect and Use Information; Data Retention
We do not collect any PII about you unless you voluntarily provide it to us. However, you may be required to provide certain PII to us when you elect to use certain Services available on the Site, for example by sending us an email message, submitting a form, or transmitting other information by telephone or letter.
We will primarily use your PII to provide Services to you. We will also use certain forms of PII to enhance the operation of our Site and/or Services, improve our internal marketing and promotional efforts, statistically analyze Site use, improve our product and service offerings, and customize our Site's content, layout, and Services. We may use PII to deliver information to you and to contact you regarding administrative notices. Finally, we may use your PII to resolve disputes, troubleshoot problems and enforce our agreements with you, including our Terms and this Privacy Policy.
We (or our partners) may also collect certain Usage Data. For example, we may use your IP address to diagnose problems with our servers, software, to administer our Site and to gather demographic information.
We will retain your PII for as long as is reasonably necessary to fulfill the relevant purposes set out in this Privacy Policy and during the period required or permitted by law. The retention period will primarily be determined by relevant legal and regulatory obligations and/or duration of our business relationship with you. We will securely delete or erase your personal information if there is no valid business reason for retaining your data.
3. Healthcare and Medical Information
As a company operating in the field of reproductive technology and IVF laboratory automation, we understand the sensitivity of healthcare-related information. If you are a healthcare provider, fertility clinic, or other entity using our IVF automation technology and services:
1. We may collect information related to your use of our technology, including operational data, performance metrics, and usage statistics.
2. We do not collect, store, or process any patient health information through our website. Any patient-related data processing would only occur through our secured, dedicated systems in accordance with all applicable healthcare privacy laws and regulations, and would be covered by separate agreements.
3. You are responsible for obtaining any legally required authorization, consent or other permission from your patients prior to providing their PII to us through the Site and/or Services. If you provide any patient information to us, you represent that you have
obtained all necessary consents and authorizations required by applicable laws and regulations.
4. Cookies
Depending on how you use our Site and/or Services, we may store cookies on your computer in order to collect certain Usage Data about our users and to customize certain aspects of your specific user experience. A cookie is a small data text file which is stored on your computer that uniquely identifies your browser. Cookies may also include more personalized information, such as your IP address, browser type, the server your computer is logged onto, the area code and zip code associated with your server, and your first name to welcome you back to our Site. We may use cookies to perform tasks such as: monitoring aggregate site usage metrics, storing and remembering your passwords (if you allow us to do so), storing account and preferences that you have set, and personalizing the Services we make available to you.
Most browsers are initially set up to accept cookies, but you can reset your browser to refuse all cookies or to indicate when a cookie is being sent. However, some aspects of the Site or Services may not function properly if you elect to disable cookies.
5. Release of Information
Sometimes we work through contractual arrangements made with Affiliates, service providers, partners and other third parties ("Service Partners"). We and our Service Partners may need to use some PII in order to perform tasks between our respective sites, to do research, or to deliver products or services to you.
We will encourage our Service Partners to adopt and promote strong privacy policies. However, the use of your PII by our Service Partners is governed by the respective privacy policies of those providers, and is not subject to our control. Except as otherwise discussed in this Privacy Policy, this document only addresses the use and disclosure of information we collect from you. Other sites accessible through this Site, including our Service Partners, have their own privacy policies and data collection, use and disclosure practices. Please consult each Service Partner's privacy policy. We are not responsible for the policies or practices of third parties.
Occasionally we may be required by law enforcement or judicial authorities to provide PII to the appropriate governmental authorities. In such cases, we will disclose PII upon receipt of a court order, subpoena, search warrant, regulation, binding order of a data protection agency, governmental request, or other legal or regulatory process. We fully cooperate with law enforcement agencies in identifying those who use our services for illegal activities. We reserve the right to report to law enforcement agencies any activities that we in good faith believe to be unlawful. We also may disclose information if we believe disclosure is necessary or appropriate to protect the rights, property, or safety of Conceivable and our customers or others.
We may transfer information, including your PII, in connection with a merger, sale, acquisition, divestiture, restructuring, reorganization, dissolution, bankruptcy or other change of ownership or control by Conceivable or any Affiliate thereof (in each case, whether in whole or in part).
6. Social Media
Certain Services may link with social media platforms and social media plug-ins (collectively, "Social Media"). When accessing the Services through a Social Media account, we may (depending on the applicable user privacy settings) automatically have access to information provided to or through the Social Media platform. We may collect and use this information for the purposes described in this Privacy Policy or described at the time the information was collected.
When you use the Services, Social Media operators can place a cookie on your computer to recognize individuals who have previously visited the Site or Services. If you are logged into a Social Media account while using the Site or Services, the social plugins allow that Social Media operator to receive information that you have accessed and used the Services. The social plugins also allow the Social Media operator to share information about your activities in or through the Site or Services with other Social Media users. We do not control any of the content from the Social Media plugins. For more information about Social Media plugins, please refer to the privacy statements and other legal notices of the Social Media platform.
7. User Choices on Collection and Use of Information
We may, from time to time, send you email regarding news, new products and services that we feel may interest you. In addition, if you indicated that you are interested in receiving offers or information from us and our partners, we may occasionally call or send you direct mail about products and services that may be of interest to you. Only Company (or agents working on behalf of Company and under confidentiality agreements) will send you these solicitations. If you do not want to receive solicitations from us, you can "opt-out" by indicating so in your communications with us to no longer receive such offers and mailings.
You also have choices with respect to cookies, as described above. By modifying your browser preferences, you have the choice to accept all cookies, to be notified when a cookie is set, or to reject all cookies. If you choose to reject all cookies some parts of our Site may not work properly in your case.
7. Security of Your PII
At our Site you can be assured that your PII is secure, consistent with current industry standards. We take reasonable security measures intended to help protect the security of all information submitted through the Site or the Services and against unauthorized access to or unauthorized alteration, disclosure or destruction of your PII.
Unfortunately, no data transmission over the Internet or any wireless network can be guaranteed to be 100% secure. As a result, while we strive to protect your PII, you acknowledge that: (a) there are security and privacy limitations inherent to the Internet which are beyond our control; (b) we are not responsible for any interception or interruption of any communications or for changes to or losses of data through the internet; and (c) the security, integrity and privacy of any and all information and data exchanged between you and us through this Site cannot be guaranteed.
For users accessing any secure areas of our Site, or for healthcare providers using our dedicated systems:
1. We implement additional layers of security and authentication
2. We use encryption for data transmission
3. We maintain strict internal protocols for data handling
4. We regularly review and update our security practices
8. Intellectual Property and Confidentiality
As outlined in our Terms, Conceivable Life Sciences Inc. maintains valuable intellectual property related to our IVF automation technology. Any information you may receive about our proprietary technology is confidential and should not be disclosed to third parties. Similarly, any feedback, suggestions, or ideas you provide regarding our technology may be used by us for any purpose without attribution or compensation.
9. Our Children’s Policy
The Site and Services are not intended for use by children. You must be at least 18 years old to use this Site and/or the Services. Our policy is that we do not knowingly collect, use or disclose PII about minor visitors. If we learn we have collected or received PII from a child under the age of 18 without verification or parental consent, we will delete that information. If you believe that we may have collected any information, including PII from or about a child under 18, please contact us immediately at the address set forth in Section 12 below.
10. Privacy Notice for Individuals in the European Union
If you are a resident of the European Union or the United Kingdom, you have certain data protection rights under the General Data Protection Regulation and its UK implementation (GDPR). When you provide personal information through our Site, the personal data contained in your submission will be collected by Company, located at the address set forth in Section 12 below, and can be contacted by emailing the address set forth in Section 12 below.
Your PII will be processed for the purposes of managing our business activities, which include responding to inquiries, providing information about our services, setting up and conducting follow-up communications, and as is otherwise needed in our business operations. Such processing is legally permissible under Art. 6(1)(f) of Regulation (EU) 2016/679 of the GDPR as necessary for the purposes of the legitimate interests pursued by the Controller.
Your PII may be shared with cloud services providers located in the United States of America and engaged by Conceivable to help manage its business operations. Accordingly, if you are located outside of the United States, your PII will be transferred to the United States once you submit it through this site. Because the European Union Commission has determined that United States data privacy laws do not ensure an adequate level of protection for PII collected from EU data subjects, the transfer will be subject to appropriate additional safeguards under the contractual terms of our agreements with the provider.
Your personal data will be retained by Conceivable as long as it is necessary to respond to your inquiries and to comply with applicable regulations. Under the GDPR, you have the rights to (1) request information about our processing of your PII, (2) request access to your PII, (3) ask us to correct errors, or to complete omissions, in your PII, (4) ask us to delete your PII, (5) request that processing of your PII be limited and (6) to receive or have us transmit to another person a portable copy of your PII. You also have the right to object to any processing based on our legitimate interests where there are grounds relating to your particular situation. You can object to marketing activities for any reason. In addition, you may lodge a complaint with an EU supervisory authority.
11. Additional Information for Nevada Residents
If you are a Nevada resident, you have the right to opt out of the sale of certain personal information to third parties. To the extent we collect PII that identifies you through an online website or service among the categories of PII described above, we do not sell that PII for monetary consideration.
11.1 Additional Information for California Residents
If you are a resident of California, you may be entitled to the privacy rights described below under the California Consumer Privacy Act (“CCPA”). Please note that certain categories of PII, such as protected health information (“PHI”), are not covered by the CCPA.
We collect the categories of information described in Section 1 of this Privacy Policy.
We use the personal information we collect for the purposes described in Section 2 of this Privacy Policy.
We have not sold personal information for any monetary value. However, our use of certain Site cookies may be considered a “sale” of information under California law. We may have disclosed your internet activity or non-specific geolocation with third parties whose cookies are on our Site. These cookies are used for the purposes described in Section 4 of this Privacy Policy. You can opt-out of the use of these cookies by as set forth in Section 4. We also recognize opt-out preference signals contained in HTTP header fields. We do not “share” personal information as that term is used under California law.
We maintain your personal information for the periods described in Section 2 of this Privacy Policy.
In addition, as a resident of California, you may have certain rights with respect to your PII, including the rights to (1) request the specific pieces of PII we have about you, the categories of PII we have collected from you in the last 12 months, the categories of sources from which that PII was collected, if we sold or disclosed your PII in the last 12 months and the categories of your PII sold or disclosed, the categories of third parties with whom we share your PII and the purpose for collecting and selling PII; (2) request deletion of PII we have collected or maintained about you (which we may deny under circumstances, provided that in such case we will let you know the reason why); (3) request that we correct inaccurate PII we maintain about you; and (4) to opt-out of the “sale” of PII.
Non-discrimination. We will not discriminate against you in any way if you choose to exercise your rights under the law. However, if we delete your PII based on a request you make, understand that you may be unable to use or access certain features of our Site or Services.
How to make a CCPA request. To exercise your CCPA rights, contact us at the address set forth in Section 12 below. We endeavor to respond to a verifiable consumer request within forty-five (45) days of receipt. If we require more time (up to 90 days), we will inform you of the reason and extension period in writing.
We will take steps to verify your identity before processing your CCPA requests. We will not fulfill your request unless you have provided sufficient information for us to reasonably verify you are the individual about whom we collected PII. If you have an account with us, we will use our existing account authentication practices to verify your identity. If you do not have an account with us, we may request additional information about you to verify your identity. We will only use the PII provided in the verification process to verify your identity or authority to make a request and to track and document request responses, unless you initially provided the information for another purpose.
You may use an authorized agent to submit a CCPA request. When we verify your agent’s request, we may verify both your and your agent’s identity and request a signed document from you that authorizes your agent to make the request on your behalf. To protect your PII, we reserve the right to deny a request from an agent that does not submit proof that they have been authorized by you to act on their behalf.
Other California Privacy Rights. California’s “Shine the Light” law also gives California residents the right to request certain information regarding our disclosure of their PII to third parties for those third parties’ direct marketing purposes. You may request information regarding the disclosure of your PII to third parties for those third parties’ direct marketing purposes by emailing or writing us at the address in Section 12 below. Please indicate “California Rights” in the subject or attention line of your communication.
